SERVICE AGREEMENT

This Service Agreement ("Agreement") is entered into between FundJoy® LLC ("Consultant"), operated by Kristal Frazier, and the undersigned client organization ("Client").

1. SERVICES

Consultant agrees to provide the following services as part of the ELEVATE Strategic Fundraising Coaching program:

• Monthly one-on-one strategic coaching sessions (90 minutes each) via video conferencing
• Priority email access for time-sensitive fundraising questions
• Regular review of Client's fundraising materials with actionable feedback
• Customized strategies tailored to Client's unique challenges and opportunities
• Initial assessment of Client's current fundraising strategies, goals, and challenges

2. TERM AND RENEWAL

2.1 This Agreement requires a minimum initial term of three (3) months ("Initial Term").

2.2 Following the Initial Term, this Agreement shall automatically renew on a month-to-month basis unless terminated by either party with written notice at least fifteen (15) days prior to the end of the current month.

2.3 Each coaching session will be scheduled at a mutually agreeable time, with dates confirmed at least 7 days in advance.

3. FEES AND PAYMENT

3.1 The monthly fee for the ELEVATE Strategic Fundraising Coaching program is $2,800 per month.

3.2 The first month's payment is due upon signing this Agreement.

3.3 Subsequent monthly payments will be automatically charged on the same day of each month as the initial payment date.

3.4 All payments are non-refundable.

3.5 Client is responsible for the full three-month minimum commitment ($8,400 total) regardless of whether Client utilizes all scheduled sessions.

4. SCHEDULING AND ATTENDANCE

4.1 Coaching sessions will be scheduled in advance for the upcoming month.

4.2 Client may reschedule a session with at least 48 hours' advance notice at no penalty, subject to Consultant's availability.

4.3 Sessions canceled or rescheduled with less than 48 hours' notice will be forfeited.

4.4 Unused sessions do not roll over to subsequent months.

4.5 Consultant will make reasonable efforts to accommodate Client's scheduling needs within normal business hours.

5. CLIENT RESPONSIBILITIES

Client agrees to:

5.1 Actively participate in coaching sessions and implementation of agreed-upon strategies.

5.2 Provide timely responses to Consultant's requests for information or materials.

5.3 Provide access to relevant fundraising materials and information needed to provide effective coaching.

5.4 Have reliable internet connection and appropriate video conferencing capabilities.

5.5 Use email access for genuine time-sensitive questions, respecting reasonable boundaries on frequency and timing.

6. COMMUNICATION

6.1 Primary communication will occur during scheduled coaching sessions.

6.2 Priority email access is provided for time-sensitive questions between sessions with a response time typically within 48 business hours.

6.3 Priority email access is not intended to replace scheduled sessions or to provide unlimited consulting services outside of scheduled sessions.

7. INTELLECTUAL PROPERTY

7.1 Any materials, documents, strategies, or plans created by Consultant remain the intellectual property of Consultant.

7.2 Client is granted a non-exclusive license to use materials provided by Consultant for internal organizational purposes only.

7.3 Client shall not reproduce, distribute, or sell any materials provided by Consultant without prior written consent.

7.4 Client may not record the coaching sessions without prior written approval from the Consultant.

8. CONFIDENTIALITY

8.1 Consultant agrees to keep confidential all non-public information provided by Client.

8.2 Consultant may reference the general nature of services provided to Client in marketing materials or portfolio, but will not disclose specific confidential information.

9. LIMITATION OF LIABILITY

9.1 Consultant provides coaching and guidance based on professional expertise but does not guarantee specific fundraising results.

9.2 Implementation of strategies and advice is at Client's discretion and responsibility.

9.3 Consultant's liability under this Agreement shall be limited to the amount of fees paid by Client.

9.4 Consultant is not liable for any indirect, consequential, or incidental damages.

10. TECHNICAL ISSUES

10.1 Client is responsible for ensuring adequate technical setup for the virtual coaching sessions.

10.2 If technical difficulties on Client's end prevent completion of a session, the session will still be considered delivered.

10.3 If technical difficulties on Consultant's end prevent completion of a session, Consultant will reschedule the remainder of the session at no additional cost.

11. TERMINATION

11.1 After the Initial Term, either party may terminate this Agreement with written notice at least fifteen (15) days prior to the end of the current month.

11.2 Either party may terminate this Agreement for material breach by the other party. The non-breaching party shall provide written notice of the breach, and the breaching party shall have ten (10) business days from receipt of such notice to cure the breach. If the breach is not cured within this timeframe, the non-breaching party may terminate this Agreement immediately upon written notice.

11.3 Client remains responsible for payment of the full Initial Term regardless of early termination except in cases of material breach by Consultant.

12. GENERAL PROVISIONS

12.1 Independent Contractor: Consultant is an independent contractor and not an employee of Client.

12.2 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

12.3 Governing Law: This Agreement shall be governed by the laws of TEXAS.

12.4 Amendments: Any modifications to this Agreement must be in writing and signed by both parties.

12.5 Force Majeure: Neither party shall be liable for failure to perform due to circumstances beyond reasonable control.

12.6 No Assignment: Client may not assign or transfer any rights under this Agreement without the prior written consent of Consultant.

ACCEPTANCE OF TERMS:

Your purchase confirms your organization's commitment to the ELEVATE Strategic Fundraising Coaching program and your acceptance of all payment terms, cancellation policies, and service provisions outlined in this Agreement.
